Who are considered US persons?

A US person can be both a natural person as well as a legal entity

A US natural person is defined as:

a natural person residing in the US irrespective of his or her nationality
a natural person residing outside of the US but who has a mailing address in the US
a US citizen who is temporarily abroad
a legal entity that is governed by a US Person via a power of attorney, fiduciary power, trustee power or through some other control relationship

A US legal entity is defined as :

a partnership/corporation organized/incorporated under US laws, independent of its structure/purpose/ultimate beneficial owner (“UBO”)

an estate with a US person as an executor/administrator
a non-discretionary account (other than an estate or trust) held by a dealer/fiduciary for the benefit or account of a US person
a discretionary account (other than an estate or trust) held by a dealer/fiduciary organized/incorporated, or (if individual) resident in US
an agency/branch/office of a foreign entity located in the US
any partnership/corporation organized/incorporated outside the US by a US person for purpose of investing in unregistered securities unless it is
organized/incorporated and owned by a US person who is an accredited investor
trusts/Private Investment Companies (PICs)/charitable organizations incorporated outside the US that have US residents as their
trustee/UBO/Managing Director/Partner/asset controlling Chairperson
